ReferU Terms of Service

Definitions

Throughout this document, the words “ReferU,” “us,” “we,” and “our,” refer to our company (ReferU (Pty) Ltd for Services provided in South Africa), our Site (www.referu.io) or our Services, as is appropriate in the context of the use of the words.

“Company” refers to companies that have signed up to ReferU intending to recruit Candidates, or to the individuals who represent those companies.

“Referrer” refers to an individual you has been invited or signed up to ReferU to use the platform to collect and pass on referrals for job vacancies.  

“Admin” refers to the individual who this the administrator of the Company’s ReferU organisational account. 

“Applicant” refers to prospective employees who are seeking employment opportunities and apply for a job through ReferU.

“Candidate” refers to the applicant who has successfully been placed in a vacancy through ReferU. 

“HR” refers to the individual within the Human Resources department for a specific Company, or to the individuals who represent that department within the Company for a specific vacancy. 

“Hiring Manager” refers to the individual within the Company who is directly responsible for hiring the Candidate for a particular vacancy. 

“Placement Fee” is the fee charged to Companies by ReferU on the successful hire of a Candidate.

“Referral Fee” is the amount paid to referrers by ReferU on the successful hire of their referral through ReferU.

“Sign-on bonus” is the amount paid to a successful Candidates by ReferU on their successful placement by the company through ReferU.

ReferU Services

ReferU offers Companies a way to collect highly qualified and matched Candidates for vacancies in their organisation via referrals from their staff.

As a Company you acknowledge that ReferU will not perform background checks on Candidates and that you are responsible for performing due diligence on all Applicants including, but not limited to, background checks, reference checks and checks for the accuracy of the provided information.

Roles and Responsibilities of Companies, Referrers, Admins and Applicants
Company’s role

After your registration as a Company has been accepted by us, you will be able to create or upload new job ads and share that with all the staff in your organisation. Your staff will then share that job ad with their personal networks and begin to collect and review Applicants for referral. Once referrals are sent through it is the responsibility of HR and the Hiring Manager to conduct background checks and all due diligence on the respective Applicants. Once a decision is made to hire a referral from ReferU, the Company must log the successful placement through ReferU to be invoiced for the Placement Fee.

Referrer’s role

After your registration as a Referrer, you will be able to view all job vacancies loaded by your Company. You will receive an email notification for new job ads loaded and you will be able to share any active job ads with your personal network via email, instant message or social media. You will then have applicants apply directly to you and you will then be able to rate and review the Applicants before referring them to HR and the respective vacancy’s Hiring Manager. 

Admin’s Role

After your registration as an Admin has been accepted by us, you will be able to add, remove and control the users within your organisational account. You will be responsible for registering your Company as a new customer with ReferU and ensuring billing and contact details of your Company are correct. 

Applicant’s and Candidate’s Role

After your registration as an Applicant, you will be able to apply for jobs you see shared through your personal network. These jobs will be shared with you via email, social media or instant message and you will apply directly through the ReferU platform.

As a Candidate, you are required to promptly notify ReferU within five business days if you accept a Job Offer, whether for an indefinite or fixed term. You shall also provide ReferU with a copy of your signed offer letter or employment contract containing the key terms of the Job Offer, including your Start Date and remuneration.

Payments and Refunds
For the Company
Payment for a successful hire

ReferU will invoice the Company within one week of the Candidate’s Start Date and the Placement Fee shall be due thirty (30) days after the Start Date.

Permanent contract employees

If an Applicant is successfully hired through ReferU, the Placement Fee (excluding VAT) is 6% of the Candidate’s annual total cost to company, inclusive of all guaranteed income. 

If the Candidate or the Company terminates the employment within ninety (90) days of the Start Date for any reason other than redundancy, retrenchments or economic reasons, the paid Placement Fee will be refunded to the Company.

To claim your refund, you as the Company, must notify ReferU about the termination of the Candidate’s employment and provide all the requested details. You must also have notified ReferU about the original accepted Job Offer in accordance with our requirements set out above. A refund will only be due to the Company where the relevant Placement Fee was paid in accordance with ReferU’s payment terms.

Temporary or short term contract employees

If an Applicant is successfully hired through ReferU, the Placement Fee (excluding VAT) is 8% of the Candidate’s total cost to company for the duration of the contract, inclusive of all guaranteed income, with a minimum billable contract term of three (3) months. 

No refunds are offered on Short term contracts less than Twelve (12) months. 

For the Referrer and Candidate

The Referal Fees and Sign-on bonus will be paid within ninety (90) days of the Start Date of the Candidate. Both these fees will be displayed to both the Referer and Candidate within the ReferU Site as well as in email communication and confirmations around the sharing of the job ad, application to the job ad and referral of Applicant.

General
Cancellation

At any time, and without cause, we may cancel or terminate your access to ReferU or use of any Services at our sole discretion. You are not entitled to any kind of compensation if you request to cancel or terminate your account and will continue to be liable for any remaining payment obligations.

Privacy Notice

All of our interactions with you will be in accordance with our Privacy Notice. The Privacy Notice can be accessed on ReferU (www.ReferU.io/privacy) and will be updated from time to time as required. All questions around ReferU’s Privacy Notice or your personal data should be directed to info@referu.io 

Confidentiality

You agree to keep all information gained from using ReferU and/or any Service confidential.

You agree not to disclose the names or identities of any Applicants listed on ReferU, outside of your recruiting or hiring department.

You agree to keep your login details secret and not to divulge them in any form to any person or, in the case of company members, to any other company member.

Publicity

ReferU may include the name of any Company in any document or website for marketing and publicity purposes.

Indemnification

You agree to indemnify and hold ReferU, its employees, its officers, and its agents harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from your access or use of the ReferU platform and/or any Service.

By logging in and accessing ReferU, the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, our Privacy Notice and our Code of Conduct (www.ReferU.io/code_of_conduct/).

We may amend these conditions from time to time. By accessing this Site you are, and agree to be, bound to the version of our Terms of Use published here at the time of any visit to this Site.

Applicable law and jurisdiction

These terms and conditions and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to these terms and conditions or their formation (including any non-contractual disputes or claims), shall be governed by and construed in accordance with laws of South Africa where the Services are provided in South Africa and the courts in Cape Town will have exclusive jurisdiction. ReferU retains the right to have any dispute brought before any other competent court.
